Customer T&Cs
These Terms and Conditions (“Agreement”) govern your participation in the Roger Rewards Program (“Program”), operated by ABN 86 651 550 382 (“Roger”, “we”, “us”, “our”).
By registering for the Program, submitting your details, redeeming rewards, granting Roger access to your accounting system, or purchasing from Program suppliers, you (“Customer”, “you”) agree to be bound by this Agreement.
1. Eligibility & Onboarding
1.1 Eligibility
To join the Program, you must:
(a) operate a business in the hospitality sector (e.g. restaurant, café, bar, club, venue or similar);
(b) hold a valid ABN and be registered for GST (if required under law);
(c) provide accurate and complete business details during onboarding, including authorised contacts, trading address, and payment details; and
(d) not have been previously removed from the Program for breach of these Terms.
1.2 Authority
You warrant that the person applying for the Program has full authority to bind the Customer.
1.3 Acceptance
Roger may accept or reject applications at its discretion. Acceptance occurs upon written confirmation, activation in the Program, or by your commencement of use of Program benefits.
2. Customer Benefits
2.1 Cashback
(a) Customers may earn cashback on eligible spend with participating suppliers introduced or managed through the Program (“Suppliers”).
(b) Cashback accrues based on verified invoiced spend with Suppliers, net of discounts, rebates, or credits.
(c) Cashback is credited as Roger Rewards Points, which may be redeemed in accordance with clause 3.
2.2 Rewards
(a) Rewards Points may be redeemed for gift cards, vouchers, discounts, or other benefits offered through the Program.
(b) Rewards are subject to availability, may change without notice, and cannot be redeemed for cash unless required by law.
2.3 Supplier Pricing & Savings
(a) Roger may tender your invoices to its Supplier network to secure competitive pricing.
(b) Any quoted savings are estimates only and are not guaranteed.
(c) The supply contract for goods and services is between you and the Supplier, not Roger.
3. Rewards Points System
3.1 Accrual
(a) Points accrue on eligible, verified spend with Suppliers.
(b) Roger may also offer bonus or promotional Points.
3.2 Redemption
(a) Points may be redeemed through the Program platform for available rewards.
(b) Redemption is subject to any additional conditions displayed at the time of redemption.
3.3 Expiry & Forfeiture
(a) Points expire 12 months after accrual unless otherwise stated.
(b) Points may be forfeited if you breach this Agreement, are suspended, or fail to provide required records under clause 4.
4. Customer Obligations
4.1 General Obligations
You agree to:
(a) provide true, complete, and up-to-date information;
(b) use the Program for genuine business purposes only;
(c) pay Supplier invoices in full and on time;
(d) not engage in fraud, collusion, or misuse of the Program (e.g. inflating invoices to earn rewards); and
(e) comply with all laws including the Australian Consumer Law, Privacy Act 1988 (Cth), and relevant industry regulations.
4.2 Accounting System Access
(a) To verify your spend with Suppliers and calculate cashback, you may be required to provide Roger with read-only access to your accounting software (e.g. Xero, MYOB, QuickBooks or equivalent).
(b) By granting access, you authorise Roger to use such access solely for monitoring supplier spend, auditing invoices, and reconciling rewards.
(c) Roger will not alter, edit, or interfere with your accounting records.
(d) All data accessed will be treated as confidential in accordance with clause 8.
(e) If you revoke Roger’s access, you must promptly provide alternative evidence (e.g. copies of invoices or transaction reports) sufficient for Roger to calculate rewards. Failure to do so may result in suspension of your participation or forfeiture of unverified rewards.
5. Supplier Relationships
5.1 Roger acts as a facilitator only. The contract for the supply of goods/services is strictly between you and the Supplier.
5.2 Suppliers are solely responsible for:
(a) the quality, safety, and compliance of their goods/services;
(b) order fulfilment, delivery, and invoicing; and
(c) providing remedies under the Australian Consumer Law, including refunds, repairs, or replacements.
5.3 Roger does not warrant Supplier performance, product quality, or continued participation in the Program.
6. Cashback & Rewards Conditions
6.1 Cashback and Points are earned only on eligible, paid invoices with Program Suppliers, as confirmed by Roger.
6.2 Ineligible spend includes:
(a) unpaid or overdue invoices;
(b) refunded, cancelled, or disputed invoices;
(c) taxes, delivery charges, or surcharges (unless otherwise specified).
6.3 Roger may adjust or cancel Points if:
(a) invoices are unpaid or fraudulent;
(b) you withdraw accounting access and fail to provide sufficient alternative evidence; or
(c) Points were credited in error.
7. Suspension & Termination
7.1 Roger may suspend or terminate your participation immediately if you:
(a) engage in fraud, collusion, or misuse of the Program;
(b) breach these Terms;
(c) fail to provide records or revoke accounting access without replacement;
(d) repeatedly fail to pay Suppliers; or
(e) damage Roger’s reputation.
7.2 You may terminate participation at any time by written notice.
7.3 On termination:
(a) unredeemed Points may be forfeited;
(b) you remain liable to pay Suppliers for all outstanding invoices; and
(c) Roger may retain records for audit and compliance purposes.
8. Confidentiality & Privacy
8.1 Roger may collect, use, and disclose your business and financial information in accordance with the Privacy Act 1988 (Cth) and its Privacy Policy.
8.2 By joining the Program, you consent to Roger accessing, storing, and using data from your accounting system (where authorised) to administer the Program.
8.3 Roger will not disclose confidential or financial information to third parties other than:
(a) to Suppliers for order or reward fulfilment;
(b) to service providers assisting Roger with Program operations; or
(c) where required by law or regulation.
9. Liability & Indemnity
9.1 To the maximum extent permitted by law, Roger is not liable for:
(a) Supplier performance or failure to supply;
(b) loss of Points due to suspension, termination, or system errors;
(c) indirect or consequential loss (e.g. loss of profit, goodwill, or anticipated savings).
9.2 Nothing in this Agreement excludes your rights under the Australian Consumer Law, which may entitle you to certain remedies.
9.3 You indemnify Roger against losses, costs, or claims arising from:
(a) your breach of this Agreement;
(b) misuse of the Program; or
(c) non-payment of Supplier invoices.
10. Dispute Resolution
10.1 Disputes with Suppliers should be raised directly with the Supplier first.
10.2 If unresolved, you may escalate to Roger, who may (at its discretion) assist in mediating.
10.3 Any dispute with Roger must first be negotiated in good faith for 30 days. If not resolved, it must be referred to mediation in Sydney, NSW.
11. General
11.1 Governing Law – This Agreement is governed by the laws of New South Wales, Australia.
11.2 Force Majeure – Neither party is liable for failure to perform due to causes beyond their reasonable control (e.g. natural disasters, industrial action, government restrictions).
11.3 Assignment – You may not assign this Agreement without Roger’s consent. Roger may assign to affiliates or successors without notice.
11.4 Notices – Notices must be in writing and sent by email to the addresses most recently provided. Notices are deemed received 24 hours after sending unless delivery failed.
11.5 Severability – If a provision is invalid or unenforceable, the rest remains effective.
11.6 Entire Agreement – This Agreement constitutes the full agreement between the parties and overrides prior understandings.
11.7 Amendments – Roger may amend these Terms with 14 days’ notice. Continued participation constitutes acceptance.
11.8 Waiver – Failure to enforce any provision is not a waiver of rights.
11.9 Interpretation – Singular includes plural; “including” means “including without limitation”; headings are for convenience only.
12. Acceptance
By registering for the Program, granting Roger accounting system access, redeeming rewards, or continuing to purchase from Program Suppliers, you acknowledge and agree to these Terms and Conditions.
